V. Steps Towards Setting a Trading Up a Company and Necesarilly Documents.

1. Location / area where the company will have its main headquarters and, if necessarily secondary headquarters

a.) it can be done in a location which is the property of one or more partners or in their use
b.) The location proving documents are being prepared / obtained : certificates of land register from the owners; contract of letting, subletting, commode, the approval of the owners or tenants in the dwellings neighbouring of the location in question ( horizontally and vertically)

2. The denomination ( firm of the company and , if the case the logo of the company)

a.) The firm and logo are established by the partners and must differ of the firm and logo of other companies
b.) The firm and logo must be written first of all in the Romanian language
c.) The firm and logo are checked at the trade register Office of the county where the headquarters is established ; a proof of their registration and reservation for a period of three months will be issued;

3. The set up document corresponding to the legal form of company the partners have chosen is being drawn up

a.) For drawing the set up documents the partners may contact :
a lawyer, a notary, or they may contact the constancy office of the county chamber of commerce and Industry
b.) The following documents are necessarily for drawing up the set up document :

- identification document of the partners, administrators or representatives if natural persons : passport - ID

- Identification document of the partners, administrators or representatives if legal persons: by laws, registration certification / fiscal certificate, certificate of banking

- certificate of criminal record for the founders administrators and representatives if foreign citizens

4. Undersigning of the setting up of the authenticated set up document, in front of public notary.

a.) The signing can be made directly by all partners or by a person who was empowered thorough authentic power of attorney
b.) the foreign citizens who do not have acknowledge of the Romanian language sign the document in the presence of an authorised interpreter

5. The contribution in cash are deposited to a bank or saving's house and the ownership documents for the contribution in kind are being prepared.

6. The stamp tax and the judicial tax are paied.

7. The file with all the necessarily documents is being prepared and forwarded to office of trade register in the county where the headquarter of the company has been established

8. The Office of the Trade Register will:

- check the file

- controls the legality of the documents and the authorization of the company registration by the judge delegated by the county court house

- transmits in view of publishing the judge conclusion to the Official Journal of Romania

- registration of the company : - issuance of the registration certificaticate and the conclusion of the judge

9. Fiscal registration of the company and getting of the fiscal code from the county financial administration.

10. Getting of certificates and licensees, in order to start the activity of the company.
